1. Introduction

Welcome to InterviewBee AI ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our AI-powered software and services, including our website, application programming interfaces (APIs), and related technology (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy (incorporated by reference). If you do not agree with any part of these Terms, you must not access or use the Service.

2. Definitions

• "User," "you," or "your" refers to any individual or entity using the Service.
• "Content" refers to any data, text, files, or materials uploaded to, processed by, or generated by the Service.
• "AI Models" refers to our artificial intelligence, machine learning, and related algorithms.
• "Platform" refers to our website, APIs, and associated services through which the Service is provided.

3. Account Registration

3.1. Eligibility

You must be at least the age of majority in your jurisdiction or have the express permission of a legal guardian to create an account. You agree to provide accurate, current, and complete information during registration.

3.2. Account Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

3.3. Account Termination

We reserve the right to refuse registration or terminate accounts at our sole discretion, in accordance with Section 11.

4. Subscription and Payments

4.1. Subscription Requirement

Access to certain features of the Service requires a paid subscription.

4.2. Automatic Renewal

Subscriptions will automatically renew at the end of each billing cycle unless you cancel at least 24 hours before the renewal date. You are responsible for all recurring charges until cancellation.

4.3. Price Changes

We reserve the right to change subscription prices or introduce new fees with 30 days' notice. Continued use of the Service after the notice period constitutes your acceptance of the new prices.

4.4. Refund Policy

We do not provide refunds unless explicitly stated.

5. Acceptable Use

5.1. Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws;
• Upload malicious code, viruses, or other harmful software;
• Attempt to hack or disrupt the Service, its security features, or other users;
• Share or transfer your account credentials to any unauthorized party;
• Reverse engineer, decompile, or otherwise attempt to derive source code from the Service or AI Models;
• Scrape, crawl, or harvest data from the Service without our written permission;
• Use the Service to generate abusive, harmful, or offensive Content;
• Infringe or violate the intellectual property or privacy rights of others.

5.2. Enforcement

We reserve the right to monitor use of the Service to verify compliance with these Terms. We may immediately suspend or terminate your account if we believe, at our sole discretion, that you have violated this Acceptable Use policy or any other part of these Terms.

6. Data, Privacy, and Content

6.1. Privacy Policy

Our collection, use, and disclosure of personal information are governed by our Privacy Policy, which is incorporated by reference into these Terms.

6.2. Ownership of Your Content

You retain ownership of all Content you upload or otherwise provide through the Service. By uploading Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, reproduce, distribute, and process your Content for the following limited purposes:

• Operating, providing, and enhancing the Service;
• Training and improving our AI Models (including creating aggregated or anonymized datasets);
• Generating analytics related to usage patterns and service performance.

6.3. Generated Content

Depending on your use of our AI Models, the Service may generate certain outputs ("Generated Content"). Ownership and usage rights for Generated Content are solely with us. Where not otherwise specified, you receive a non-exclusive, royalty-free license to use the Generated Content for your internal business purposes.

6.4. Data Security

We implement reasonable security measures to protect against unauthorized access, alteration, disclosure, or destruction of your Content. However, no method of transmission or storage is entirely secure. We cannot guarantee absolute security of data transmitted to or stored by the Service.

6.5. Data Retention and Backup

We may maintain backup copies of your data for a limited period and for disaster recovery purposes. We do not guarantee the availability or restoration of your data once you or we terminate your account, unless stated otherwise in a separate Service Level Agreement (SLA).

7. Intellectual Property

7.1. Our IP

All right, title, and interest in and to the Service, including our software, algorithms, and AI Models, are and will remain the exclusive property of the Company or its licensors.

7.2. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.

7.3. Feedback

If you provide feedback or suggestions about the Service, we may use such feedback without obligation or compensation to you.

8. Service Level and Downtime

8.1. No Guaranteed Uptime

Unless explicitly stated in an SLA, we do not guarantee uninterrupted or error-free access to the Service. Downtime may occur for scheduled maintenance or due to unforeseen technical issues.

8.2. Remedies

Your sole remedy for downtime or Service interruptions is to discontinue use of the Service. If an SLA is provided, any additional remedies will be specified therein.

9. Disclaimer of Warranties

9.1. AS IS

The Service (including any AI-generated outputs) is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

9.2. No Warranties

We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.

9.3. Accuracy of AI Outputs

We do not warrant the accuracy, completeness, or reliability of any content or AI-generated information provided through the Service. You are responsible for evaluating the risks associated with the use of any AI-generated outputs.

10. Limitation of Liability

10.1. Exclusion of Certain Damages

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

10.2. Liability Cap

Our total liability to you for any claim arising out of or relating to the Service shall not exceed the amount you have paid to us in subscription fees in the 12 months preceding the claim.

10.3. Jurisdictional Limits

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service;
• Your Content (including any infringement claims);
• Your violation of these Terms;
• Your violation of any applicable laws or regulations;
• Your violation of any third-party rights.

12. Termination

12.1. Termination by You

You may terminate your account at any time by following the instructions on the Service or by contacting us. No refunds will be provided.

12.2. Termination or Suspension by Us

We may terminate or suspend your account (or any part of the Service) immediately if we reasonably believe you have violated these Terms or if we decide to discontinue the Service.

12.3. Effect of Termination

• Your right to access the Service will cease immediately.
• You remain liable for any outstanding charges up to the date of termination.
• Sections 6-11 (and any others that by their nature should survive) will survive termination.

13. Dispute Resolution and Governing Law

13.1. Governing Law

These Terms are governed by the laws of India without regard to its conflict of laws principles. Any disputes shall be resolved in the courts located in Bhubaneswar, Odisha, India, unless otherwise required by local law.

13.2. Arbitration Clause (Optional)

At our sole discretion, we may require you to submit any dispute arising from these Terms or your use of the Service to binding arbitration in Bhubaneswar under the rules of the Indian Arbitration Association. If arbitration is chosen, each party will bear its own attorneys' fees unless otherwise determined by the arbitrator, and arbitration shall proceed on an individual basis.

14. Modifications to the Terms

14.1. Right to Modify

We reserve the right to modify or update these Terms at any time.

14.2. Notice of Changes

We will provide notice of material changes (e.g., via email or by posting an update on our website). Continued use of the Service after such changes become effective constitutes your acceptance of the revised Terms.

15. Entire Agreement

These Terms, along with any referenced policies (including our Privacy Policy and any applicable SLA), constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements or understandings.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions of these Terms will remain in full force and effect.
